The AI data room for lower-middle-market M&A
Stop chasing documents. Start closing deals.
Your seller drops their whole library in once. ClosingVault reads every file, scans included, files it, and ticks off the due diligence checklist. You only handle what's missing.
Diligence shouldn't be a filing job.
Weeks of chasing
Request lists go out, documents trickle in by email, and nobody is sure what is still outstanding.
Sorting by hand
Someone renames, sorts and files hundreds of documents into folders, then does it again for the next version.
“Is this the final one?”
Drafts and finals pile up side by side, and buyers ask for things you already sent.
Three steps. Most of them aren't yours.
-
Step 1: Drop everything
Whole folders, any file type. Scanned PDFs are read too. Exact duplicates are skipped automatically.
-
Step 2: The AI files and matches
Each document lands in the right folder with its period, and the checklist item it answers is ticked. Newer copies become new versions. When it isn’t sure, it asks a person.
-
Step 3: Buyers see what you release
Teaser, NDA, CIM, LOI, diligence: each buyer moves through the same stages, seeing only what you’ve opened to them.
Something in it for everyone at the table.
Buyers
Diligence you can find your way through.
- Read the NDA in full before you sign it.
- Search by file name or by what is inside.
- Submit your signed LOI and follow its status.
Intermediaries
Run more sales with less admin.
- The checklist fills itself as documents arrive.
- Release access buyer by buyer, stage by stage.
- Track every buyer from teaser to close.
Sellers
Hand everything over once.
- See exactly what is still missing.
- Confirm in writing what doesn't apply.
- No duplicates; versions handled for you.
What makes ClosingVault different
We make the middle of the deal better, faster and more organized.
We don't claim to replace professional M&A expertise. We make it easier for everyone at the table to do their job, and we take the friction out of getting to the finish line: the middle part, the part everyone hates.
We organize the evidence; you draw the conclusions.
Built for the people running the deal, not the lawyers papering it.
| What you need | Traditional data room | ClosingVault |
|---|---|---|
| Getting documents in | Files land where someone puts them, then a person renames and sorts them. | One drop for the whole library: folders, any file type. Every document is filed for you. |
| Scanned PDFs | Often stored as pictures that nobody can search. | Read with OCR on our own servers, then filed and searchable like everything else. |
| The request checklist | A separate list someone updates by hand. | Each document is filed and matched to the specific request it answers, so the checklist fills itself. |
| When filing is unclear | A person decides every document, every time. | The AI asks a person with one-click review, and each decision teaches it how your firm files. |
| Items that don’t apply | Silence can look the same as “done.” | Every request is resolved by a document or by the seller’s written attestation. |
| Versions and duplicates | Drafts and finals pile up side by side. | A newer copy for the same period becomes the current version. Identical files are skipped. |
| The deal itself | NDAs, LOIs and buyer tracking live in other tools. | Teaser, NDA e-signature, CIM, LOI, diligence, exclusivity and closing, in one room. |
| Pricing | Often priced by the page or quoted after a sales call. | Flat, published pricing, with a free 30-day trial. |
Security
Confidential by default.
A sale is private until it isn't. Here is exactly what protects a ClosingVault room today.
Encrypted in transit
Every connection to ClosingVault runs over HTTPS, so documents and sign-ins are encrypted with TLS on the way to and from your browser.
Encrypted at rest
Every document is encrypted with AES-256-GCM using its own key, and that key is itself encrypted with a master key kept apart from the files. This is called envelope encryption.
View-only, watermarked viewer
Documents open in a view-only viewer stamped with the reader's identity. Downloads are available only where the deal side allows them.
Access per buyer and per stage
Each buyer sees only the folders and deal stages opened to them, and the room admin can hide any single document.
A tamper-evident activity log
Who opened, downloaded or changed what, and when, is written to a hash-chained log, so any later edit to the record can be detected.
Verified sign-in
Everyone proves their email address with a one-time emailed code. Room admins also sign in with an authenticator app.
Scans read on our own servers
Scanned PDFs and images are read with OCR inside ClosingVault's own servers, not sent to an outside OCR service.
