What is a due diligence data room?
It is a secure online space where a seller’s documents are shared with prospective buyers during a sale. In ClosingVault, each document is filed by topic and period and matched to the diligence request it answers, so you can see what has been provided and what is still open.
Do I pay to use ClosingVault as a buyer?
The firm that opens the room pays. If you have been invited into a room that an intermediary or seller opened, you are not paying for it. If you open a room yourself to run diligence, every feature is free for 30 days on one deal room.
Can I read the NDA before I sign it?
Yes. The full NDA opens in the room before you sign anything, and you sign it electronically in the same place.
How do I know I am looking at the latest version?
When a newer copy of the same document for the same period arrives, ClosingVault makes it the current version automatically. Re-uploads of an identical file are skipped, so you won’t see duplicates.
How does submitting an LOI work?
You sign your letter of intent the way you normally would and upload it to the room. The sell side records it as accepted, countered or rejected, and you see that status. The terms of a counter are worked out between the parties; ClosingVault records the outcome.
Can I download documents?
Only where the sell side allows it. Everything else opens in a view-only viewer stamped with your identity.
